COMPANY HISTORY
Dragon Jade International Limited (the “Company”) is listed on the United States NASDAQ OTCQX (Stock Symbol: DGJI). The principal activity of the Company is investment holding.

In April 2012, the Company chartered a new subsidiary, Alpha Ultimate Limited under the laws of the Special Administrative Region of Hong Kong which operates in the health supplement industry.
On August 31, 2012 the Company entered into a stock exchange agreement with United Century Holdings Limited, a privately held corporation. On September 1 2012, the Company consummated the transaction contemplated by the stock exchange agreement. All of the capital stock of United Century Holdings Limited was exchanged for an aggregate of 20,003,319 shares of the Company’s capital stock. The Company became a 100% holding company of United Century Holdings Limited.
United Century Holdings Limited (“UCHL”) was incorporated on March 2, 2012 under the British Virgin Islands Business Companies Act, 2004 with limited liabilities. UCHL is established as a special purpose holding company whose objective is to become a holding company by consummate an acquisition, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more business located in Hong Kong. On July 10, 2012, UCHL executed an acquisition of 7,879,500 out of 8,000,000 ordinary shares, par value $0.1282 (HK$1) per share, of the United Asia Medical Network Company Limited (“UAM”) and became a 98.49% holding company of UAM.
UAM was incorporated on May 6, 1998 as a limited liability company under Hong Kong Companies Ordinance, Chapter 32. Its principal business is trading of health supplement products and providing related medical and health consultancy services.
UAM is a company incorporated in Hong Kong with business network across Asia, including Hong Kong, mainland China, Taiwan, Japan, Korea, Singapore, Malaysia, and Thailand. The Company is a customer oriented company with aggressive and innovative spirit. UAMN holds the belief that with their strong expertise in human biological knowledge and marketing experience, they would be able to provide the finest nutritional products and premiere medical services for the betterment of human livings. UAMN aims at exploiting the unique combination use of Traditional Chinese Medicine and Modern Western Medicine in treatment. Facing with adverse side effects of Modern Western Medicine, the medical professionals of UAMN believe that Traditional Chinese Medicine, with thousands of years of enhancement and empirical evidence, can complement the Western Medicine which is in the best interests of the patients.

Dr. Steve Lai
CEO
Dr. Steve Lai, is the Executive Director and Chief Executive Officer of our Company. He was appointed as executive Director of our Company on September 1, 2012. He is primarily responsible for our Company’s overall business planning, strategy and management, as well as providing medical and biological information support to the Company. He has over 25 years of experiences in medical and pharmaceutical industry. From 1987 to 1988, he acted as the Chief Resident of Emergency Internal Medicine Department of Neihu General Hospital in Taipei. From 1988 to 1995, he acted as the Chief of Internal Medicine Department of Tamsui First Hospital in Taipei County. In 1998, he founded United Asia Medical Network Company Limited in Hong Kong. He is currently the Chairman of United Asia Medical Network Company Limited. Dr. Lai received his medical degree from the Medical College of National Taiwan University in 1985.
ADVISORY PANEL
Dragon Jade has organized a professional advisory panel consisting experts from the fields of medical, accounting and finance, legal, marketing research, etc. This advisory panel is responsible for the assessment and value appraisal of new traditional Chinese medicine and biotechnology project. Its objective is to assess the probability of success of new projects from the points of view of different disciplines, such that investment risk can be reduced to the minimal level. On the other hand, Dragon Jade is negotiating with several large international biotech venture capital funds on a cooperation plan, in which Dragon Jade will be responsible for the assessment, management, marketing and promotion of the venture capital funds’ new projects to ensure that all the projects invested by the venture capital funds have high rates of success. This cooperation plan will bring about win-win scenario for both the venture capital funds and Dragon Jade.
Dr. Steve Lai
Scientific Advisor
Dr. Steve Lai graduated from the Medical College of National Taiwan University and started his medical career in 1985 in Taiwan as an internist. From 1987 to 1988, he acted as the Chief Resident of Emergency Internal Medicine Department of Neihu General Hospital in Taipei. In 1988, he completed further training in Chest Medicine and became a fellow of the Taiwan Chest Society. In the same year, he diagnosed the first AIDS patient in Taipei and was granted an award for Taiwan for his contribution to the medical society of Taiwan. From 1988 to 1995, he acted as the Chief of Internal Medicine Department of Tamsui First Hospital in Taipei County.
Since 1990, Dr. Lai has begun to use various alternative medicines to cure different types of diseases. One of those alternative medicines is Shark Cartilage Powder. Dr. Lai is the first doctor in Asia to use Shark Cartilage Powder to treat difficult diseases including rheumatoid arthritis and systematic lupus erythematosus, and remarkable results have been achieved. In 1995, he migrated his medical team to Kuala Lumper to further expand the medical services to other countries of Asia. In 1996, he was highly accredited in the medical society and was invited to be honorary speaker in the Fifth Asian Chinese Medicine Conference held in Kuala Lumper, Malaysia.
Since 1999, Dr. Lai has begun to assist Sunfarm Corporation in the negotiation with US Food and Drug Administration (FDA) on the feasibility of Phase III clinical trial of Selected Vegetables, which was finally agreed by FDA in 2002. In 2001, he began to speak at numerous medical seminars in the Asia Pacific Region together with Dr. Alexander Sun of SunFarm Corporation, the person who owns and invented the Selected Vegetables.
Mr. Edward Ho
Marketing Advisor
Mr. Edward Ho has over 15 years of experience in advertising and marketing industries and is currently Advertising Manager of Dragon Creative Limited. Mr. Ho’s experience extends to the Pharmaceutical / Health Supplement, Electronics / Technology, Luxury Goods / Retail Services, Card Services / Financial Institute and the Properties / Educational market sectors.
Mr. Ho has an Advanced Diploma in Business Administration from the Durham University Business School and a Bachelor of Science (Computer Science) at the University of New South Wales.
MEDICAL ADVISORY BOARD
As a medical group committed to developing and distributing medical and health products that improve people's lives, we greatly value the physician's perspective on the development of medical and healthcare services. Therefore, we have established a Medical Advisory Board to offer advices on the screening of potential medical projects and the exploration of new medical products aiming to enhance the quality of medical services in the community. Advice from the Medical Advisory Board plays an important role in the implementation of high standard hospital management systems as well as providing decent personnel training for hospitals in mainland China, and preparation for integration into the global community. Our Medical Advisors are serving as drug and health food advisors for various regions including Hong Kong, Singapore and Taiwan, etc. They will also participate in speaking tours, seminars and lectures on western medical expertise in the Asia-Pacific region.
Dr. Francois Yeung FONG
Dr. Francois Yeung FONG graduated from Monash University in Australia with a MBBS and Medical Science degree in 1994. Dr. Fong received further training in family medicine and sexual health in Australia. He obtained a Master in Family Medicine from Monash University, Master in Sexual Health from University of Sydney and Fellow of the Royal Australian College of Family Physician. He had been a lecturer in General Practice and post-graduate supervisor in Counseling at Monash University as well as post-graduate supervisor for the University of Sydney sexual health program. Dr. Fong is currently a practicing family and sexual health physician and is the Managing Director of Neo-Health Group. Dr. Fong is also serving as honorary assistant professor of The University of Hong Kong and The Chinese University of Hong Kong.
Dr. Shu Dai MOK
Dr. Shu Dai MOK graduated from The University of Hong Kong in 1974. After receiving training in general surgery at the Queen Elizabeth Hospital in Hong Kong, Dr. Mok became a Fellow of the Royal College of Physicians and Surgeons of Glasgow, Royal College of Surgeons of Edinburgh and the Royal Australasian College of Surgeons. He is also a Founding Fellow of the College of Surgeons of Hong Kong and The Hong Kong Academy of Medicine. As part of his post-fellowship training, he attended training courses at various overseas institutions including the Institute of Urology in London and the St. Mark's Hospital for Cancer, Fistula and other Diseases of the Rectum. Before entering private practice in 1988, Dr. Mok served as Senior Medical Officer and Honorary Clinical Lecturer at the Prince of Wales Hospital, the main teaching hospital of the Faculty of Medicine of The Chinese University of Hong Kong. His main specialty is general surgery with a particular interest in hepato-pancreato-biliary surgery.
Dr Edward Shiu Fai LIU
Dr Edward Shiu Fai LIU graduated from The University of Hong Kong in 1993 and started his medical career in Hong Kong from early 1995. He had been serving in the Department of Clinical Oncology of Tuen Mun Hospital in Hong Kong for 16 years with his profession and specialty. After completing further education, Dr. Liu became a Fellow of the Royal College of Radiologists in 2007 and obtained a Bachelor of Chinese Medicine in 2008. After receiving intensive training from The Erasmus University Medical Center in Rotterdam in 2009, he became a member of The European Society for Hyperthermic Oncology. He is an extraordinary clinical oncologist who is also equipped with a Chinese medicine practitioner qualification.
Mr. Tsz Fung Philip, Lo
Mr. Tsz Fung Philip, Lo, is the Independent Non-executive Director of our Company. Mr. Lo was appointed as Independent Non-executive Director of our Company on September 1, 2012. Mr. Lo was appointed as a director and Chairman of the Audit Committee and a member of the Compensation Committee and Corporate Governance Committee of QKL Stores Inc. (NASDAQ: QKLS) in November 2011. Mr. Lo has been serving as managing director of Shenzhen Xin Wei Managing Consultancy Limited since August 2011, independent non-executive director of Styland Holdings Limited (Hong Kong Exchange Code : 211) since April 2009, and managing director of P&L Financial Consultancy Limited since December 2007. Mr. Lo also served as chief financial officer of Wuhan General Group (China) Inc. (NASDAQ: WUHN) from February 2010 to January 2012, chief financial officer of Wuhan Zhongye Yangluo Heavy Machinery Co., Ltd from December 2007 to January 2009, and senior manager of Albert Wong & Co from June 2006 to December 2007. Mr. Lo received his bachelor’s degree from University of Wollongong, Australia. He is a member of CPA Australia and a member of HKICPA. We believe that Mr. Lo’s deep knowledge of finance and accounting matters brings a unique expertise to the Board of Directors.
Mr. Tze Yu Daniel, Tai
Mr. Tze Yu Daniel, Tai, is the Independent Non-executive Director of our Company. Mr. Tai was appointed as Independent Non-executive Director of our Company on September 1, 2012. He has more than 20 years of management and supervision experience in various enterprises which is engaging in the business of electronic products, catering and trading. From 1990 to 2006, he is a Manager and General Manager of Sharp-Roxy (HK) Limited in Hong Kong. He is primarily responsible for the planning, direction and control of all sales, advertising and promotion activities related to consumer electronic products. Apart from the local sales in Hong Kong, he also takes full responsibility and accountability of the corporate sales, sales administration and support and new business developments. From 2006 to 2007, he is a Manager and Director of Rakutei Dinning & Bar. From 2007 to 2009, he is a General Manager of Kelvin Electric Trading Company Limited. He is currently a Managing Director of Aqua Gold Holding Company Limited since 2009. From 2003 to present, Mr. Tai serves as a Director and Executive Director of Radio Association of Hong Kong. He is the Fellow of The Professional Validation Centre of Hong Kong Business Sector in 2005.
